1. These terms

These terms govern your use of LexisGrid, provided by Brian Williams Design trading as LexisGrid (ABN 26 541 146 059). By subscribing to or using the service, you agree to them. If you are agreeing on behalf of a business, you confirm you are authorised to bind that business.

2. What LexisGrid provides

LexisGrid is an AI receptionist service. It answers enquiries on the channels you connect, using the business profile you supply, and can create appointments in your calendar and records in your CRM. The specific features available depend on the plan you subscribe to.

3. Your responsibilities

  • Accuracy of your business profile. LexisGrid answers from the services, prices, hours and policies you provide. You are responsible for keeping that information current and correct.
  • Lawful use. You must not use LexisGrid to send unsolicited marketing in breach of the Spam Act 2003 (Cth), to mislead customers, or for any unlawful purpose.
  • Notifications and consent. Where required, you must notify your customers that an automated system may answer and that calls may be recorded.
  • Account security. You are responsible for keeping your login credentials secure and for activity carried out under your account.
  • Connected systems. You are responsible for the accounts you connect and for having the right to connect them.

4. Fees, billing and cancellation

  • Subscription fees are charged monthly in advance in Australian dollars, and exclude GST unless stated otherwise.
  • A one-time setup fee applies to new accounts, covering configuration and onboarding.
  • Call minutes beyond a plan's included allowance are billed at the applicable per-minute rate.
  • There is no lock-in contract. You may cancel at any time, effective at the end of your current billing period. Fees already paid are not refunded on a pro-rata basis unless required by law.
  • We may change pricing with at least 30 days' written notice. Founding-client rates, where granted in writing, are held for the period stated.

5. Nature of an AI service

LexisGrid is designed to answer only from the information you provide and to hand over to a human when a request falls outside its brief. It is nonetheless an automated system and can make mistakes. You should review your dashboard and conversation logs regularly and keep your business profile accurate.

LexisGrid must not be relied upon for emergency, medical, legal or safety-critical communications. If your business receives enquiries of that nature, you must configure appropriate guardrails and human escalation paths.

6. Availability

We aim for high availability but do not guarantee uninterrupted service. The service depends on third-party platforms — your calendar, CRM, messaging providers and telecommunications networks — and outages in those systems may affect it. We will make reasonable efforts to notify you of planned maintenance.

7. Data and ownership

You own your business profile content, your customer data, your conversations and your bookings. We own the LexisGrid platform, software and documentation. You grant us a limited licence to process your content solely to provide the service. On cancellation you may request an export of your data.

8. Australian Consumer Law

Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded. Where liability can be limited, our liability is limited, at our option, to resupplying the service or paying the cost of having it resupplied.

9. Limitation of liability

To the extent permitted by law, and subject to clause 8, our total liability arising out of or in connection with the service is limited to the fees you paid in the three months immediately preceding the event giving rise to the claim. We are not liable for indirect or consequential loss, including lost profits, lost bookings or lost business opportunities.

10. Suspension and termination

We may suspend or terminate an account that breaches these terms, is used unlawfully, or has fees outstanding beyond 14 days after written notice. You may terminate at any time under clause 4.

11. Changes to these terms

We may update these terms from time to time. Material changes will be notified to account owners by email at least 30 days before they take effect. Continuing to use the service after that date constitutes acceptance.

12. Governing law

These terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of that state.
