Terms of Service

These Terms of Service ("Terms") govern the use of the LexisGrid service ("the Service") provided by Brian Williams Design trading as LexisGrid (ABN 26 541 146 059) ("LexisGrid", "we", "us"). By subscribing to or using the Service, you ("the Customer") agree to these Terms.

1. The Service

LexisGrid provides an AI-powered receptionist that answers customer enquiries across connected channels (such as website chat, SMS, social messaging and, on applicable plans, phone calls), books appointments into the Customer's calendar, captures leads into the Customer's CRM, and reports activity via a dashboard. The Service responds using the business information the Customer provides and maintains.

2. Customer responsibilities

  • Accurate business information. The AI answers from the knowledge base the Customer controls. The Customer is responsible for keeping services, prices, hours and policies accurate and up to date.
  • Lawful use. The Customer will use the Service only for legitimate business communication and in compliance with applicable laws, including telecommunications, spam (e.g. the Spam Act 2003), consumer protection and privacy laws, and any call-recording notice requirements in the Customer's jurisdiction.
  • Own accounts and channels. The Customer must have the right to connect the calendars, phone numbers, messaging channels and CRM used with the Service.
  • Human oversight. The Service flags conversations that need human attention. The Customer remains responsible for its business decisions, offers and commitments to its own customers.

3. AI-generated responses

The Service uses artificial intelligence to generate responses in real time. While it is designed to answer only from the Customer's provided information and to hand over to a human when uncertain, the Customer acknowledges that AI-generated responses may occasionally be imperfect. The Customer should review flagged conversations and keep its knowledge base accurate. The Service is a communication tool and does not provide professional (legal, medical, financial) advice.

4. Fees and billing

Fees are as set out in the Customer's plan and are billed monthly in advance. Plans are month-to-month with no lock-in; the Customer may cancel at any time, effective at the end of the current billing period. Fees are non-refundable for partial months except as required by law. We may change pricing with at least 30 days' notice.

5. Data

Conversation records, leads and bookings generated for the Customer belong to the Customer. Each customer's data is isolated from every other customer's. Our handling of personal information is described in our Privacy Policy. Upon account closure we will delete or return Customer data within a reasonable period, except where retention is required by law.

6. Service availability

We aim to keep the Service available continuously and maintain monitoring, backups and redundancy appropriate to the Service. However, the Service depends on third-party platforms (telephony, messaging, AI and CRM providers) and we do not guarantee uninterrupted availability. Planned maintenance will be scheduled to minimise disruption where practicable.

7. Acceptable use

The Customer must not use the Service to send unsolicited bulk communications, to harass or deceive, to impersonate another business, to collect information unlawfully, or to attempt to circumvent the Service's safeguards. We may suspend the Service for material breach of this section.

8. Intellectual property

LexisGrid retains all rights in the Service, its software and its branding. The Customer retains all rights in its business information and data. The Customer grants us a licence to use its business information solely to provide the Service.

9. Limitation of liability

To the maximum extent permitted by law (including the Australian Consumer Law, whose guarantees are not excluded), our total liability arising out of or in connection with the Service is limited to the fees paid by the Customer in the three (3) months preceding the claim, and neither party is liable for indirect or consequential loss. Nothing in these Terms excludes liability that cannot be excluded by law.

10. Termination

Either party may terminate with notice effective at the end of the current billing period. We may terminate or suspend immediately for material breach. Sections concerning data, intellectual property and liability survive termination.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to the Customer with reasonable notice, and continued use of the Service after the effective date constitutes acceptance.

12. Governing law

These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the jurisdiction of its courts.
